Terms of Service

1Acceptance of these Terms

These Terms of Service (“Terms”) govern your access to and use of the RevIQ service. RevIQ is a product designed and operated by D&G Staffing Co., Ltd. (บริษัท ดี แอนด์ จี สแตฟฟิ่ง จำกัด, trading as “Thai-Co”), a company registered in the Kingdom of Thailand with its registered office at No. 3080 Sukhumvit 70/1, Bangna, Bangkok 10260, Thailand (Tax ID 0105567080475) (“RevIQ”, “we”, “us”). By creating an account, accessing reviq.pro or app.reviq.pro, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.

2Definitions

• Service — the RevIQ web application, related websites, APIs, and any feature we make available, including the marketplace and AI features.
• Vendor — a user who delivers a product or service to a Client and pays a commission to a Referrer when the deal closes.
• Referrer — a user who introduces a Client to a Vendor and is entitled to commission under the agreed terms.
• Client — the end-customer whose purchase generates a commission.
• Deal — a referral record tracked through RevIQ’s 13-stage pipeline.
• Marketplace — the public vendor directory on reviq.pro/marketplace.
• Subscription — the paid plan you select (Free, Plus, Pro, Marketplace Pro add-on, or Enterprise).
• Commission — the amount a Vendor pays to a Referrer when a Deal closes, on terms locked at acceptance.
• Platform Fee — the metered fee RevIQ charges on collected commissions, as set out in section 6.

3The Service

RevIQ provides:

• A 13-stage referral pipeline that tracks Deals from introduction through to fee payment.
• Compliant Thai tax-document generation (quotes, tax invoices, receipts, billing notes, withholding-tax certificates).
• A public marketplace where qualifying Vendors can be listed.
• Email integration with your own Gmail account (you remain the sender).
• AI features for product help, deal coaching, onboarding, and support classification.

4Account and eligibility

You must be at least 15 years old to register an account. The Service is intended to be usable by teenage entrepreneurs, student side-hustlers, and young creators, alongside adults.

Under §19 of the Thai Civil and Commercial Code, the age of full legal majority is 20 years. If you are between 15 and 19, you affirm at sign-up that your parent or legal guardian has consented to your creation of an account, to your use of the Service, and to the binding nature of these Terms on your behalf. We rely on that affirmation; if it later turns out to be inaccurate, the parent or guardian may contact us at the address in section 20 and we will cooperate in good faith to unwind the affected transactions to the extent reasonably possible.

You are responsible for the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

We may suspend or terminate accounts that we reasonably believe are engaged in fraud, abuse, money-laundering, sanctions violations, or material breach of these Terms. Accounts we reasonably believe to belong to a person under 15, or to a 15–19 year-old whose parental consent has been credibly contested, will be suspended pending verification or terminated.

5Subscriptions and billing

Paid plans (Plus, Pro, Marketplace Pro add-on, Enterprise) are billed monthly or annually in Thai Baht via Stripe. Plus and Pro include a 30-day free trial; no payment method is required at trial start.

• Subscriptions auto-renew at the end of each billing period until you cancel.
• You may cancel at any time from inside the Service or via the Stripe Customer Portal. Cancellations take effect at the end of the current billing period; we do not pro-rate refunds for partial periods unless required by law.
• Where Thai consumer law gives you a refund right, we honour it.
• Failed payments may result in suspension of paid features after a grace period.
• We may change subscription prices on notice; changes apply at your next renewal.

Marketplace Pro is an add-on on top of an active Plus or Pro subscription, billed at ฿9,990 per month (or annual equivalent), prorated when added and credited when removed.

6Platform fees

In addition to subscription fees, RevIQ charges Platform Fees on the commissions that flow through the Service. Platform Fees are always:

• Metered on collected commission only — never on Deal value, gross revenue, or trials/refunds.
• Charged only when the Vendor has actually been paid by the Client and the commission becomes payable.
• Surfaced transparently in the Deal panel before any party commits.

Specific rates currently in force are set out on the pricing page and inside the Service. Changes apply prospectively only — never retroactively on commissions already collected.

7The two attribution paths

RevIQ supports two distinct, non-overlapping reward systems. These are materially different and we never conflate them in messaging or product copy.

• (a) Network referrer attribution (live): when you invite a Referrer into your personal network, every Deal that Referrer brings you is tracked, and a per-Deal commission flows from you to them on agreed terms. A platform fee (currently 15% of collected commission) is charged to you as the recruiter.
• (b) Partner Program reward credits (coming soon):a separate, future programme of non-withdrawable RevIQ credits and (for approved Growth/Strategic partners) recurring cash payouts on collected subscription revenue. This programme is not yet built. Where the Service references it as “coming soon”, that language is informational and creates no entitlement. We will publish detailed terms before the programme goes live; participation is by application and subject to approval.

8Your obligations

As a user of the Service you agree to:

• Provide accurate identity, business, and tax information.
• Obtain any consents legally required from Clients before introducing them through the Service.
• Honour the commission terms you agree to in a Deal once the Vendor has accepted.
• Not use the Service for transactions that are unlawful, fraudulent, or in breach of sanctions.
• Maintain the security of your signature, seal, banking details, and other sensitive uploads.
• Treat Client and counter-party information as confidential except as needed to perform the Deal.

9Tax documents and compliance

RevIQ helps you generate documents that conform to Thai tax conventions — including the 50 ทวิ withholding-tax certificate. Document templates are produced on the basis of information you provide (legal name, tax ID, signature, seal, amounts).

Financial documents you issue through RevIQ are retained per the Thai Revenue Code (see our Privacy Policy section 9). We do not delete these earlier even at your request.

10AI features

Some features of the Service use third-party large-language models (currently Anthropic’s Claude). AI output is generated and provided as-is, may contain errors, and is not professional advice.

• You are responsible for reviewing AI-generated content before relying on it, sending it to a Client, or acting on it.
• AI suggestions inside the Deal Coach, onboarding tour, and chat assistant are recommendations, not instructions.
• We may rate-limit AI features per plan and may change the underlying model at any time.
• What we send to the AI is described in the Privacy Policy section 6.

11Acceptable use

You agree NOT to:

• Use the Service to commit, facilitate, or conceal fraud, money-laundering, or sanctions evasion.
• Upload signatures, seals, ID documents, or other materials you are not legally entitled to use.
• Misrepresent identity, tax status, or commission terms in a Deal.
• Send unsolicited marketing through the Service or in violation of anti-spam laws.
• Interfere with the Service’s integrity (probing, abusing rate limits, reverse-engineering, scraping the marketplace at scale).
• Bypass any access control, attribution gate, fee meter, or Pro-tier feature gate.
• Use the Service to harass, threaten, or harm any user.

12Intellectual property

RevIQ retains all right, title, and interest in the Service, including its software, design, branding, documentation, and product knowledge. You retain ownership of content you upload (logos, signatures, deal notes, Client data). You grant us a non-exclusive, royalty-free licence to use that content to the extent necessary to operate the Service for you (for example, including your logo on documents we generate for you).

Feedback you give us about the Service is given without restriction; we may use it freely to improve the Service.

13Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We specifically do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• Any commission, Deal, or Client interaction will produce a particular outcome.
• AI output will be accurate, complete, or suitable for a specific purpose.
• Marketplace listings represent any guarantee of quality or fitness.
• The Service complies with the laws of any jurisdiction other than where it is operated.

14Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER RevIQ NOR ITS OWNERS, EMPLOYEES, OR CONTRACTORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE THOUSAND THAI BAHT (฿1,000).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Thai law (including liability for fraud or wilful misconduct).

15Indemnification

You agree to indemnify and hold RevIQ harmless from any claim, liability, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your misuse of the Service, (c) your violation of any third party’s rights, or (d) any tax, contractual, or regulatory liability arising from your business activities (including Deals you process through RevIQ).

16Termination

You may stop using the Service at any time. You may close your account by emailing hello@reviq.pro. We may suspend or terminate your account if you materially breach these Terms, if continued service is unlawful, or if your subscription lapses without cure.

On termination, your right to access the Service ends. We retain financial documents and audit logs as required by law (see Privacy Policy section 9). Provisions of these Terms that by their nature should survive termination (including fees owed, IP, disclaimers, liability limits, and dispute resolution) will survive.

17Governing law and disputes

These Terms and any dispute arising out of or relating to them are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws principles. You and RevIQ agree to attempt good- faith resolution by direct discussion before any litigation. Where good-faith resolution fails, the courts of Bangkok, Thailand have exclusive jurisdiction.

Nothing in this section limits your right to bring proceedings as a consumer in your local courts where Thai consumer law gives you that right.

18Changes to these Terms

We may update these Terms from time to time. The “Effective” and “Last updated” dates at the top of this page reflect the most recent version. Where changes are material we will notify you in advance through the Service or by email. Continued use of the Service after a change becomes effective constitutes your acceptance of the updated Terms.

19General provisions

• Entire agreement. These Terms plus the Privacy Policy and any plan-specific terms form the entire agreement between you and RevIQ regarding the Service.
• Severability. If any provision is held unenforceable, the rest remain in force.
• No waiver. Failure to enforce a right is not a waiver of that right.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
• No third-party beneficiaries. Except as expressly stated, these Terms do not give rights to anyone other than you and RevIQ.
• Force majeure. Neither party is liable for delay or failure to perform caused by events beyond reasonable control.
